Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Voyant platform and related applications, APIs, and hosting services ("Services") provided by PixelMakers Studio Srl under Voyant branding ("Voyant", "we", or "our").

By registering, accessing, or using Voyant, you agree to these Terms and to our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, and Intellectual Property Policy.

1. Overview

Voyant provides a multi-tenant travel-management platform for travel agencies, tour operators, and related travel-industry businesses.
The Services include tools for catalog management, bookings, payments, communications, integrations, and website hosting.
Voyant is not a payment processor, financial institution, or travel agency.

2. Eligibility & Account Responsibilities

  • You must be at least 18 years old and authorized to act on behalf of your business.
  • You are responsible for maintaining account security, including user roles and permissions within your Tenant and Workspaces.
  • You must use Voyant solely for travel-industry operations; use by businesses outside the travel or hospitality sector is prohibited.

3. Headless Architecture & Hosted Checkout Requirement

a) Headless Booking Experience

You may build your own front-end booking flow using Voyant’s APIs and SDKs for search, pricing, traveler information, ancillaries, and availability.You may fully customize UX up to—but not including—the payment and confirmation step.

b) Hosted Payment & Confirmation

Regardless of front-end implementation, all final checkout and payment confirmations must occur through Voyant’s Hosted Checkout.This step (redirect, embedded modal, or secure link) originates from Voyant’s controlled domain and ensures fee integrity and compliance.Only Voyant’s backend may transition a booking from Pending → Confirmed, triggered solely by a signed payment.captured or equivalent event.

c) Prohibited Circumvention

You may not:

  • Capture or process payments outside Voyant’s Hosted Checkout.
  • Create or mark bookings as confirmed through custom endpoints.
  • Alter or omit Voyant fees or totals contained in a checkout session.
  • Replace, inject, or simulate checkout pages or callbacks.

Any attempt to bypass Hosted Checkout is a material breach of these Terms.

d) Pricing & Fee Integrity

Voyant computes all totals and fees server-side and signs them into the session token. These values are immutable once generated.Voyant’s ledger is the sole authoritative record of booking state, pricing, and commissions.

4. Subscriptions & Fees

  • Pricing and plan details are described on voyancloud.com/#pricing
  • Fees may include subscription charges, per-booking fees, or usage-based charges depending on your plan.
  • All payments are due according to your plan’s billing schedule.
  • Failure to pay may result in suspension or termination.

5. Payments and PSP Connections

  • You may connect your own payment-service-provider (PSP) credentials (e.g., Stripe, Netopia) in Voyant’s secure console.
  • Voyant, through its Checkout Service, creates and confirms payment intents using those credentials.
  • Card and digital-wallet transactions must be initiated through Hosted Checkout; direct client-side captures or off-platform settlements are prohibited.
  • Voyant itself does not hold or transmit funds.
  • Refunds and voids must be executed through Voyant’s Admin or API to maintain accurate fee reconciliation.

5A Bank Transfers and Offline Payments

1. Booking Creation & Ownership

  • Every booking - paid or unpaid - is first created in Voyant.
  • Authoritative states: PENDING_PAYMENT → PAID → CONFIRMED.
  • Price, supplier share, and platform fee are generated at creation and cannot be modified later.
  • All bookings are commissionable regardless of payment method.

2. Marking as Paid

  • When a traveler selects bank transfer, Voyant displays banking details and a unique reference.
  • After funds arrive, the Merchant must mark the booking paid via Voyant’s UI or API.
  • Voyant validates the transition, logs user/time, and issues an internal invoice for the platform fee.
  • Proof of payment or reference may be required before confirmation.

3. Reporting & Reconciliation

  • Merchants must record manual payments in Voyant within 48 hours of receipt.
  • Voyant may monitor unconfirmed bookings and require periodic reconciliation.
  • Failure to report accurately may trigger suspension or fee recovery.

4. Platform Fee Applicability

  • Platform fees apply to all bookings created through Voyant.
  • Fees may be invoiced monthly if not automatically collected.
  • Voyant’s ledger governs all fee and payout calculations.

6. Communications Infrastructure

  • Voyant uses managed Twilio accounts to deliver SMS and WhatsApp messages across all plans.
  • You must ensure your outbound communications comply with consent, anti-spam, and data-protection laws.

7. Hosting & Data Residency

  • Voyant operates data regions in the European Union (EU) and the United States (US).
  • Each Workspace’s PII and operational data are stored and processed in its selected region.
  • Public or non-PII content (e.g., product info, media, website assets) may be cached globally on a CDN (Cloudflare, Vercel) for performance.
  • All PII is encrypted and stored exclusively within the chosen region.

8. Marketplace & Integrations

  • The Marketplace allows importing, distributing, and syndicating travel content and product data.
  • Voyant is not responsible for the accuracy, legality, or timeliness of third-party data.
  • Marketplace and catalog content (non-PII) are stored primarily in the EU and replicated globally for performance.
  • Customers remain responsible for verifying and approving imported content before publishing or distribution.

9. Marketplace Providers, External Data & Workspace Sharing

  1. Third-Party Provider Data
    • The Voyant Marketplace may include data from external travel providers that are not clients of Voyant.
    • To access such data, you must have a direct commercial or integration agreement with the relevant provider and supply your own credentials (API keys, tokens, secrets, etc.).
    • Voyant acts only as a technical conduit and does not mediate or guarantee any license, rights, or data accuracy.
    • You are responsible for ensuring your use of external data complies with that provider’s terms and applicable law.
  2. Data Ownership and Responsibility
    • Each Workspace retains ownership of its own catalog, listings, and imported data.
    • Voyant does not acquire ownership of imported or shared provider data.
    • You must not upload or publish any third-party data without valid authorization.
  3. Workspace-to-Workspace Sharing
    • Workspaces may share selected catalog or marketplace data with other Voyant Workspaces or Tenants.
    • Such access occurs only when explicitly granted by the data owner and accepted by the recipient.
    • Voyant does not automatically expose private or operational data between Workspaces.
  4. Public Profile Visibility
    • Only limited metadata (e.g., Workspace name, logo, description, and marketplace profile fields) is public.
    • Product details, pricing, and other sensitive data remain private unless you intentionally share or publish them.
    • Voyant may use public metadata to improve marketplace discoverability but does not disclose confidential information.
  5. Compliance and Credentials
    • You must store and manage third-party credentials securely and revoke them when no longer authorized.
    • Voyant securely stores credentials but is not liable for misuse or misconfiguration on your part.
  6. No Warranty for External Data
    • Voyant provides access to external data “as is” and disclaims all warranties regarding completeness, accuracy, or availability.
    • Access may be suspended or revoked by third-party providers without notice.

10. Customer Content & IP

  • You retain ownership of all content, branding, and media you upload.
  • By using Voyant, you grant us a limited, non-exclusive license to host, transmit, and display that content solely to provide the Services.
  • You represent that your content does not infringe any third-party rights.

11. Acceptable Use

You must comply with the Acceptable Use Policy, including restrictions on:

  • Non-travel use, fraud, scraping, or spam;
  • Misuse of communications, API abuse, or security violations;
  • Publication of illegal or infringing material.

Voyant may suspend or terminate accounts violating this Policy.

12. Security & Data Protection

  • Voyant maintains strong technical and organizational measures, including encryption, network isolation, and access controls.
  • You must implement secure user management within your Workspace.
  • Our data handling is governed by the Data Processing Agreement.

13. Service Availability

  • Voyant uses redundant, serverless infrastructure for scalability and uptime.
  • Scheduled maintenance or outages will be communicated when possible.
  • Voyant is not responsible for downtime or data loss caused by external providers or integrations.

14. Termination

  • You may terminate your account at any time.
  • Voyant may suspend or terminate accounts for violation of these Terms, the AUP, or applicable law.
  • Upon termination, your data will be deleted or returned as described in the DPA.

Voyant may suspend or terminate access—or recover fees—if you:

  • Circumvent Hosted Checkout or payment confirmation;
  • Fail to record manual payments within required timelines;
  • Alter or conceal platform fees;
  • Breach data-protection or PSP compliance obligations.

All bookings created via Voyant remain subject to platform fees and reconciliation even after termination.

15. Disclaimer of Warranties

Voyant is provided “as is.”
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Voyant does not guarantee uninterrupted operation or error-free data from third-party providers.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Voyant’s total liability under these Terms is limited to the amounts paid by you in the preceding 12 months.
  • Voyant is not liable for indirect, consequential, or incidental damages, including lost profits, loss of data, or loss of goodwill.

17. Indemnification

You agree to indemnify and hold harmless Voyant, its affiliates, and staff from any claims, damages, or costs arising from:

  • Your breach of these Terms;
  • Your content or data;
  • Your use of external provider data without authorization.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of Romania.
Disputes shall be resolved by the competent courts of Ploiesti, unless otherwise required by law.

19. Changes to the Terms

Voyant may modify these Terms from time to time.
Material changes will be notified by email or in-app notice.
Continued use of the Services after such updates constitutes acceptance of the revised Terms.

By using Voyant, you acknowledge that you have read, understood, and agree to these Terms of Service.
